O-clock am i ok...

The overclock my CPU It's a intel celeron 2.40 Ghz looking to put up to 2.60Ghz.

Don't mind i just overclocked my cpu to 3.00ghz from 2.40ghz :) :) :) :D

Lock the PCI bus in bios and it might.

A 200mhz overclock is fine with stock cooler. I've got 500mhz overclock per core with Ninja.

Celeron CPU is holding you back anyway, they're not very good.

But my sound card is inbulit :-/

And i got my new ram and i can't overclock it until i can get windows starting. ( i'm on my dad's com)

It doesn't matter whether it's onboard or not, if the PCI bus isn't locked, it can crash itself or connected components. The physical PCI slots are just connections to the PCI bus.

I suggested a cmos reset in your Hardware post.

Moorabbin, from what I understand, when you up FSB it also pushes the frequency of the PCI bus HIGHER. So if you change the PCI bus setting to manual then manually lock the frequency to default (33mhz!? Not sure, anyone clarify?) then the problem should go away.

Actually setting the frequency manually to 33mhz may not fix it. But, no harm can be done from trying - it is indeed supposted to be at 33mhz.
