Can you put in another CPU to check if it's the motherboard bad or the CPU that's bad? The beep codes may indicate a memory failure. Since you've tried different RAM, it could be the DIMM socket, CPU socket, bad capacitors (all faulty mobo problems) or CPU itself (memory controller or voltage problem). Check that none of the pins on the CPU are bent. Might also try another PSU if you have one to rule that out. And, try the RAM in different slots, one stick only.
Obviously, make sure everything is lined up and seated properly. Sometimes the connections for RAM and GPU can be a bit tricky. Had that especially on an ABIT Nforce 3 board getting the pins all the way in on the AGP slot.
