I am planning on installing a new MB and want to use the current HDD with XP installed.  New MB will use current AMD CPU and RAM.
Does XP need to be Updated or Full Install or no action so that the OS recognizes the new MB?

Right, you should probably not need to do anything to the OS for the new MB to work. When you say MB I assume you mean motherboard, it could mean quite a few things . If the new MB comes with software, you should install that to your system before replacing the board. This should make sure that the HDD recognises the new MB and will run on it without much more setup. You may also need to customise BIOS settings for the new MB, as these will be lost with your old MB. I am not sure on this, and I would advise you refer to the documentation that comes with the new board.

To install a new MB usually means a different chipset so reinstallation of the OS is necessary.  The OS reads the chipset during the boot.  My first attempt failed because the OS wanted to see an Ali chipset and the new MB chipset is nVidia nForce2.
XP reinstallation is straight forward.
Copy created files with a CD burner as a precaution.
On the XP set up CD, select Installation and not Repair.
Next select Upgrade and not New Install.
In the process my HDD crapped so new was installed plus the new MB in a new case.
Issue is End User License Agreement, EULA.  MS keeps a record your cptr with original installed hardware.  When count goes lower than 7 due to component changes MS cops may come calling.  Or so it seems.  EULA states that the XP license is with YOU and not the computer or any of it's components.  ONE XP OS at a time by YOU and in EULA compliance.  So I am free to change any computer component I like provided only the original XP OS is employed under the purchase EULA.  I did the format, one partition, and installed XP as new installation no muss, no fuss, no bother and sent the activation as for new using the product key without MS interference.  Transfer of the license is a bit more complicated so read the EULA.  Same requirement; one XP OS to one person.

Just as a matter of interest, I installed a computer in the following way......

3 systems, My AMD machine, a new P4 machine and a standby computer.

I placed all three Hard drives in the standby computer.

I copied my whole AMD machine's Hard Disk to the P4's hard disk.

(Note: I partitioned and formatted the P4 Hard Disk into roughly the same partitions as on my AMD setup. Dual boot operating systems, all my music, piccy's and games and programs were copied over to the new and respective partitions)

I replaced the Hard drives in their respective computers.

I booted the P4 machine and Voila! Windows XP started and I popped the mainboard disk for the P4 into the CDROM drive and ran the mainboard setup.

Rebooted and My P4 has been running fine since.

So, I even crossed over from an AMD installation to Pentium........

I Recommend a fresh install though.
